OMAA @5 Offers – Terms and Conditions

Effective Date: This Terms and Conditions document (“Terms”) applies to all promotional offers, pricing, financing, lease, and related benefits offered under the “OMAA @5 Offers” program (“Promotion”) by OMAA (“Company,” “we,” “us,” or “our”). These Terms govern your participation in the Promotion, including any vehicle order, cash purchase, lease agreement, or financing application through the OMAA website and associated channels. By participating in this Promotion, you (“Customer,” “you” or “your”) accept and agree to be bound by these Terms without limitation or qualification.

1. DEFINITIONS & INTERPRETATION

1.1 Vehicle Offer: A specific vehicle and pricing option listed under the Promotion cards (e.g., OMAA F5, U3, U4, H5, H6, T6 series) including any advertised cash price, lease terms, available down payment, monthly financing terms, or other specified incentives (“Offer”).

1.2 Promotion Period: The period during which the Promotion is active as determined by OMAA and displayed on the website or otherwise communicated to Customers. All Offers are subject to change, modification, suspension, or termination at any time without prior notice.

1.3 Approved Finance Provider: A bank, financing company, leasing entity, or other financial institution with which OMAA collaborates to provide credit, lease, or financing products to Customers under this Promotion.

1.4 Order: A binding request by a Customer to purchase or lease a Vehicle under the terms of this Promotion.

1.5 Agreement: Includes a written or electronic purchase agreement, lease agreement, finance agreement, or other contract between a Customer and OMAA (and/or an Approved Finance Provider) governing the sale or lease of a Vehicle.

2. ELIGIBILITY

2.1 This Promotion is open to individuals and legal business entities in jurisdictions where OMAA operates and where such Offers are lawfully made. Eligibility may vary by region and must comply with all applicable laws and regulations.

2.2 Customers must be at least 18 years old and possess legal capacity to enter into binding agreements. For lease or financing offers, Customers must meet the credit criteria of the Approved Finance Provider.

2.3 Employees, agents, dealers, representatives, or affiliates of OMAA and their immediate family members are not eligible for additional promotional consideration unless otherwise specified by OMAA.

3. OFFER DETAILS & ACCEPTANCE

3.1 Offer Accuracy: All information displayed in the Offers, including cash price, lease terms, financing terms, down payment requirements, and monthly payment estimates, are informational and subject to verification, credit approval, availability, and final agreement execution between the Customer and OMAA or Approved Finance Provider. OMAA endeavors to ensure the accuracy of information but makes no warranty regarding its completeness, reliability, or error-free status.

3.2 Acceptance: An Offer is accepted only when (i) a Customer submits an Order in accordance with OMAA’s ordering process and (ii) OMAA or its authorized dealer acknowledges and confirms the Order.

3.3 No Binding Contract Until Signed: No contract exists between a Customer and OMAA until all required documentation is signed, approved, accepted funds are received, and delivery arrangements are finalized.

3.4 Price Changes: OMAA reserves the right to adjust Offer prices, fees, and terms at any time prior to acceptance of an Order. Advertised prices do not include applicable taxes, duty, registration fees, delivery and handling charges, insurance, or other governmental fees unless expressly stated.

4. VEHICLE ORDERS & PAYMENT TERMS

4.1 Order Submission: To place an Order, Customers must provide accurate personal, contact, and payment details. OMAA may require proof of identity, residency, business registration (if applicable), and financial information as part of the Order process.

4.2 Down Payment and Deposits: Some Offers require a specified down payment or deposit to secure the Order. Unless otherwise agreed, such payments are payable in advance of delivery or final contract execution.

4.3 Payment Methods: Accepted payment methods may include bank transfer, certified check, electronic funds transfer, or other methods authorized by OMAA. Cash payments must be received and cleared prior to delivery.

4.4 Title and Ownership: Title, risk, and ownership of a Vehicle remain with OMAA until all amounts due under the Purchase or Finance Agreement are fully paid (if applicable). For cash purchases, full payment is required prior to delivery.

4.5 Taxes and Fees: All applicable taxes, duties, registration, licensing, environmental fees, and governmental levies are the sole responsibility of the Customer and are not included in the advertised Vehicle price unless explicitly stated.

5. FINANCING & LEASE TERMS

5.1 Credit Approval: Lease or financing Offers are subject to credit approval by the Approved Finance Provider. OMAA does not guarantee approval. Customers must complete all required applications and provide documentation as requested.

5.2 Representative Example / Estimated Terms: Any monthly payment, lease rate, or financing estimate displayed is an approximate example and may vary based on credit assessment, term length, interest rate, deposit amount, residual value, taxes, fees, and other factors. Customers should consult the Approved Finance Provider for precise figures.

5.3 APR Disclosure: When applicable, financing Offers will disclose Representative Annual Percentage Rate (“Representative APR”) where required by law and regulatory guidelines.

5.4 Insurance Requirements: Customers must maintain comprehensive insurance on the Vehicle for the full term of any lease or finance agreement, with OMAA or the Approved Finance Provider named as loss payee as required.

5.5 Lease Mileage and Wear: Lease Offers may include mileage allowances and conditions regarding wear and tear. Excess mileage fees and charges for damage beyond normal wear and tear will apply and are defined in the lease agreement.

6. DELIVERY & DELIVERY TIMES

6.1 Delivery Location: Delivery shall be made at a location agreed upon by OMAA and the Customer, typically an authorized OMAA dealership or OMAA distribution center.

6.2 Delivery Times: Delivery dates are estimates and not guaranteed. OMAA is not liable for delays due to production, logistics, supply chain issues, or causes beyond its control.

6.3 Vehicle Inspection: Prior to delivery, Customers are encouraged to inspect the Vehicle for conformity with specifications. Acceptance of delivery constitutes acknowledgment that the Vehicle conforms to the agreed description and condition at the time of delivery, subject to statutory rights.

7. WARRANTIES & DISCLAIMERS

7.1 Manufacturer’s Warranty: New Vehicles delivered under this Promotion are subject to the manufacturer’s standard warranty coverage. Terms, duration, and scope of coverage vary by model and manufacturer policy.

7.2 No Additional Warranty: Unless specified in writing, no additional warranty, guarantee, or assurance (express or implied) is provided by OMAA beyond the manufacturer’s warranty.

7.3 DISCLAIMERS: OMAA DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED HEREIN, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. CANCELLATION, RETURNS & REFUNDS

8.1 Order Cancellation: Customers may cancel an Order prior to acceptance by OMAA. Once accepted and a contract executed, cancellation rights are governed by the terms of the specific purchase, lease, or finance agreement and applicable consumer protection laws.

8.2 Refunds: Refund of down payments or deposits, if permitted, will be processed in accordance with the executed agreement and may be subject to administrative fees or deductions for any costs incurred by OMAA.

8.3 Right to Cancel (Distance Selling): Where applicable by law, Customers entering into contracts outside of OMAA’s business premises may have a statutory right to cancel within a specified cooling-off period. This right, where it applies, will be detailed in the executed contract.

9. LIMITATION OF LIABILITY

9.1 No Indirect Damages: EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL OMAA OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS PROMOTION OR ANY ORDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Maximum Liability: OMAA’s total liability under or in connection with these Terms shall not exceed the total amount paid by the Customer for the Vehicle under the relevant Order.

10. INTELLECTUAL PROPERTY

10.1 All promotional content, trademarks, service marks, logos, and graphics used in connection with the Promotion are the property of OMAA or its licensors and protected under intellectual property laws.

10.2 Customers may not copy, modify, distribute, or use any OMAA intellectual property without written permission.

11. PRIVACY & DATA PROTECTION

11.1 By participating in the Promotion, Customers consent to the collection, use, and processing of personal data as described in OMAA’s Privacy Policy. OMAA may share data with Approved Finance Providers and service partners for legitimate business purposes including credit assessment, contract processing, and delivery coordination.

11.2 Data will be processed in compliance with applicable data protection laws.

12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 These Terms and any related contract shall be governed by and construed in accordance with the laws of the jurisdiction where the contract was executed and delivered, subject to mandatory local consumer protection provisions.

12.2 Any dispute arising out of or in connection with these Terms shall be resolved through amicable negotiation. If unresolved, disputes may be submitted to competent courts with jurisdiction over the place of contract execution.

13. MISCELLANEOUS

13.1 Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.

13.2 Amendments: OMAA may amend these Terms at any time. Changes apply to new Offers and Orders unless otherwise specified.

13.3 Assignment: Customers may not assign their rights under any Agreement without OMAA’s written consent. OMAA may assign its rights and obligations to affiliates or successors.

13.4 Entire Agreement: These Terms, along with any executed purchase, lease, or finance agreement, constitute the entire agreement between the Customer and OMAA regarding the subject matter and supersede all prior discussions and representations.

By proceeding with an Order or otherwise engaging with any Offer on the “OMAA @5 Offers” page, you acknowledge that you have read, understood, and agree to be bound by these Terms and all conditions incorporated by reference in related contracts.
